Liberty Media Corporation, the parent company behind Formula 1 and MotoGP, has just announced a major financial move. They are issuing $600 million in convertible senior notes due 2032, a strategic step to manage debt and bolster their racing portfolio.

Announced on August 11, 2026, the notes carry a 2.375% annual interest rate and can be converted into Series C common stock (FWONK) at an initial conversion price of approximately $138.68 per share—a 35% premium over the recent market price of $102.73. Investors also have the option to purchase an additional $90 million, potentially bringing the total to $690 million.

The proceeds will be used to fund capped call transactions related to their 2027 convertible notes, as well as for working capital and general corporate purposes. This refinancing strategy aims to reduce potential dilution and manage liabilities efficiently, reflecting Liberty Media's confidence in the long-term growth of its assets, including its majority stake in Formula 1 and MotoGP.
